Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 31, 2023, Jeffrey S. Goble and Kimberly J. McWaters, members of the Board of Directors of WillScot Mobile Mini Holdings Corp. (the “Company”), informed the Company that they will not stand for re-election as directors at the Company’s 2023 annual meeting of stockholders due to other commitments and not as a result of any disagreement with the Company relating to its operations, policies or practices. Mr. Goble and Ms. McWaters will serve the remainder of their current terms, which will end at the 2023 annual meeting of stockholders.
